1. Who these terms are between

TaskIt is operated by Pathfinder Innovation Portal LLC(“TaskIt”, “we”, “us”), Al Salam Tower, Ground Floor R01, Dubai Media City, Dubai, United Arab Emirates. These terms are an agreement between you and us, and they govern your personal use of the TaskIt applications and website.

TaskIt is a business product supplied to organisations, not to individual consumers. Three parties are involved and the distinction matters:

  • Your organisation — the company or institution that subscribes to TaskIt, contracts with us separately, and controls the workspace.
  • You— a person your organisation’s administrator has provisioned an account for. You cannot create a TaskIt account yourself.
  • Us — we provide the platform to your organisation.

Your organisation’s administrator controls your access, can see and manage the content in the workspace, and can remove your account at any time. If a separate written agreement exists between us and your organisation, that agreement governs the relationship with your organisation and prevails over these terms to the extent of any conflict; these terms continue to govern your own use.

2. Your account

Accounts exist only where an administrator at your organisation has created one. You sign in either with credentials issued through your organisation or with your organisation’s Microsoft Entra ID account. Keep your credentials confidential, use the account only yourself, and tell us or your administrator promptly at support@taskit.app if you believe it has been compromised. You are responsible for activity carried out under your account.

You must be at least 18 years old to use TaskIt.

3. The service

TaskIt is a cloud task-management and collaboration service that lets organisations create tasks and projects, assign work, track progress, exchange messages and comments, and attach files. We may add, change or withdraw features. Where a change materially reduces functionality your organisation relies on, we will give your organisation reasonable notice.

4. Licence to use TaskIt

While your organisation’s subscription is active and you comply with these terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable and non-sublicensable licence to use TaskIt for your organisation’s internal business purposes. You may not copy, modify, translate, reverse engineer, decompile or disassemble the service, attempt to derive its source code, rent, lease, lend, sell or sublicense it, scrape it, circumvent its access controls or rate limits, probe it for vulnerabilities without our written permission, or use it to build a competing product.

5. Acceptable use and user-generated content

Use TaskIt only for lawful business purposes.

There is no tolerance for objectionable content or abusive users.

TaskIt lets you write messages, comments and task descriptions that other people in your organisation can read. You are responsible for everything you post. You must not post, send or upload content that:

  • harasses, bullies, threatens or intimidates another person;
  • expresses hatred towards, or degrades, a person or group on the basis of race, ethnicity, national origin, religion, sex, gender identity, sexual orientation, disability, age or any other protected characteristic;
  • is sexually explicit, or sexualises a minor in any way;
  • depicts, incites or glorifies violence or self-harm;
  • is unlawful, defamatory, deceptive, or infringes anyone’s rights;
  • is spam, or attempts to defraud or phish another user;
  • contains malware, or is designed to disrupt or gain unauthorised access to any system.

How we enforce this

Filtering. We screen user-generated text automatically before it is stored. Content containing prohibited material is rejected at the point of posting.

Reporting. Every message and comment can be reported from within the app. Reports go to a moderation queue that administrators at your organisation review. Reported content is reviewed and acted on — by removing the content and, where warranted, suspending the account responsible — within 24 hours of the report.

Escalation to us.If your organisation’s administrators do not act, or if the report concerns an administrator, write to us directly at support@taskit.app and we will review it ourselves within 24 hours and act on it. We may remove content and suspend accounts without waiting for your organisation.

Blocking. You can block another user at any time. Blocking immediately hides everything they have written from your view. It is one-directional and we do not tell the person you have blocked them.

Accounts that post objectionable content or abuse others may have that content removed and their access suspended or terminated, without notice.

6. Your content, and the permission we need to host it

As between us, the content created in a workspace belongs to your organisation. We claim no ownership of it.

To operate the service we need permission to handle that content. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, display and back up content you submit, solely in order to provide, secure, support and improve TaskIt for your organisation, and as required by law. This licence ends when the content is deleted, except for copies held in backups until they expire and copies we must keep by law. We do not sell your content and we do not use it to train machine-learning models for other customers.

7. Our intellectual property

TaskIt, its software, design, documentation, trade marks and all related intellectual property are owned by Pathfinder Innovation Portal LLC and its licensors. Nothing in these terms transfers any of it to you. Feedback or suggestions you send us may be used without restriction or obligation to you.

8. Privacy and data protection

Our handling of personal data is described in the Privacy Policy, which forms part of these terms. In most workspaces your organisation is the controller of the personal data in it and we act as its processor, handling that data on its documented instructions. We process personal data in accordance with applicable law, including UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data.

9. Third-party services

TaskIt integrates with third-party services, including Microsoft Entra ID for sign-in and Microsoft SharePoint and OneDrive for files. Your use of those services is governed by the agreements between your organisation and the relevant provider. We are not responsible for third-party services, and their availability or behaviour is outside our control. You must comply with any applicable third-party terms when using TaskIt.

10. Availability

We work to keep TaskIt available and perform maintenance outside business hours where we reasonably can. We do not, however, warrant uninterrupted or error-free operation under these terms, and no service-level commitment is given here. Availability commitments, if any, are those set out in the written agreement between us and your organisation. We may suspend the service temporarily for maintenance, security or legal reasons.

11. Suspension and termination

Your access depends on your organisation’s subscription and on your administrator, either of which may end it at any time. We may suspend or terminate your access immediately where we reasonably believe you have breached these terms, where required by law, or where necessary to protect the service or other users — in particular for the conduct described in §5.

When a workspace closes, content is handled as described in the Privacy Policy. Provisions which by their nature should survive — including §§6, 7, 12, 13, 14, 15 and 19 — survive termination.

12. Disclaimers

To the fullest extent permitted by law, TaskIt is provided “as is” and “as available”, and we disclaim all warranties, conditions and representations of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy and non-infringement.

We are not responsible for content created by users. TaskIt is a workspace tool and is not a substitute for professional advice, nor is it designed for use where failure could lead to death, personal injury, or severe physical or environmental damage.

Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud.

13. Limitation of liability

To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, nor for loss of profits, revenue, goodwill, business opportunity, anticipated savings, or loss of or damage to data, however caused and under any theory of liability, even if we have been advised of the possibility.

To the fullest extent permitted by law, our total aggregate liability to you arising out of or relating to TaskIt and these terms is limited to the greater of (a) the amount your organisation paid us for your access in the twelve months before the event giving rise to the claim, and (b) US $100. Because TaskIt is supplied to your organisation rather than to you personally, claims relating to the commercial relationship belong to your organisation under its agreement with us.

14. Your indemnity

You agree to indemnify and hold harmless Pathfinder Innovation Portal LLC, its officers, employees and agents against claims, liabilities, damages, losses and reasonable costs arising out of content you post in breach of §5, your misuse of TaskIt, or your breach of these terms or of applicable law.

15. Additional terms for the Apple App Store

Where you obtained the TaskIt application from the Apple App Store, the following also applies and prevails over anything inconsistent elsewhere in these terms.

(a) Acknowledgement.These terms are between you and Pathfinder Innovation Portal LLC only, and not with Apple Inc. (“Apple”). We, not Apple, are solely responsible for the TaskIt application and its content.

(b) Scope of licence. The licence granted in §4 is non-transferable and permits you to use the application on any Apple-branded device that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.

(c) Maintenance and support. We are solely responsible for providing maintenance and support for the application. Apple has no obligation to furnish any maintenance or support services.

(d) Warranty. We are solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If the application fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the application. To the maximum extent permitted by applicable law, Apple has no other warranty obligation whatsoever with respect to the application.

(e) Product claims. We, not Apple, are responsible for addressing any claims by you or a third party relating to the application or your possession and use of it, including product liability claims, any claim that the application fails to conform to a legal or regulatory requirement, and claims arising under consumer protection, privacy or similar legislation.

(f) Intellectual property claims.If a third party claims that the application or your possession and use of it infringes that party’s intellectual property rights, we, not Apple, are solely responsible for the investigation, defence, settlement and discharge of that claim.

(g) Legal compliance.You represent and warrant that you are not located in a country subject to a US Government embargo or designated by the US Government as a “terrorist supporting” country, and that you are not listed on any US Government list of prohibited or restricted parties.

(h) Contact. Questions, complaints and claims about the application should be sent to Pathfinder Innovation Portal LLC at the address in §20, or to support@taskit.app.

(i) Third-party terms. You must comply with any applicable third-party terms when using the application, as described in §9.

16. Export control and sanctions

You must comply with all applicable export control and sanctions laws, including those of the United Arab Emirates, the United States, the United Kingdom and the European Union. You must not use TaskIt in breach of those laws, or make it available to any person subject to applicable sanctions.

17. Changes to these terms

We may update these terms. The current version is identified at the top of this page. Where a change is material we will give notice — by showing the updated terms in the application and requiring acceptance before continued use, or by notifying your organisation. Your acceptance of a version is recorded against your account. Continuing to use TaskIt after a change takes effect means you accept it; if you do not, stop using the service and contact your administrator.

18. General

Assignment. You may not assign or transfer these terms. We may assign them to an affiliate or in connection with a merger, acquisition or sale of assets.

Force majeure. Neither party is liable for failure or delay caused by events beyond its reasonable control, including outages of telecommunications or hosting providers, acts of government, or natural events.

Severability and waiver. If a provision is found unenforceable, the rest remains in force and the provision is modified to the least extent necessary. A failure to enforce a provision is not a waiver of it.

Entire agreement. These terms, together with the Privacy Policy, are the entire agreement between you and us regarding your use of TaskIt, and replace any previous version. They do not displace any written agreement between us and your organisation.

Notices. We may give you notice through the application or by email to the address associated with your account. Notices to us go to support@taskit.app or the postal address in §20.

19. Governing law and jurisdiction

These terms and any dispute arising out of or in connection with them, including any non-contractual dispute, are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. The courts of Dubai have exclusive jurisdiction, and you and we submit to that jurisdiction. This does not deprive you of the protection of any mandatory law of the country in which you are resident.

(j) Third-party beneficiary.Apple and Apple’s subsidiaries are third-party beneficiaries of these terms, and upon your acceptance Apple has the right (and is deemed to have accepted the right) to enforce these terms against you as a third-party beneficiary.
